1. Independent contractor status

By accepting this agreement, you confirm that you act as an independent self-employed contractor. No employment, joint venture, or legal partnership is created between you and Vayo. You are responsible for your own taxes and contributions (Revenu Québec, CRA) as applicable.

2. Vehicle and driver requirements

You must hold a valid Québec driver’s licence (Class 5 or higher) in good standing for at least 12 months, with the appropriate SAAQ endorsement for remunerated passenger transport. You must hold an SAAQ authorized driver permit (Bill T-11.2), have completed mandatory training and hold a qualified driver certificate (CFTR), and demonstrate the ability to understand, speak and read French (section 10(3) LCTRPA). You must provide a valid criminal background check renewed as required by law. Your vehicle must have commercial registration for passenger transport, a valid SAAQ authorized vehicle attestation (section 26 LCTRPA), annual mechanical inspection (PEP), and commercial liability insurance covering remunerated passenger transport.

3. Use of the application and accepting trips

You are free to go online in the application and to accept or decline trip requests at your discretion. However, once you accept a trip, you agree to complete it professionally.

3.1. On-demand pricing (LCTRPA) and taximeter

Trips initiated through the Vayo platform are ‘on-demand trips through a transportation system’ within the meaning of Quebec’s Act respecting remunerated passenger transportation by automobile (LCTRPA). For these trips, the fare is calculated by Vayo’s pricing algorithm, communicated to the passenger before the trip begins, and a taximeter is not required. The tariffs set by the Commission des transports du Québec (CTQ) for hailed trips or trips taken at a taxi stand do not apply to Vayo trips. You remain fully responsible, outside of the Vayo platform (hailed trips or trips from a taxi stand), for complying with the requirements applicable to those other activities, including the use of a compliant taximeter and the application of CTQ-regulated tariffs where the law requires.

4. Compensation, billing and payments (Stripe Connect — dispatcher model)

You act as an independent self-employed taxi operator. Driver prestation invoices (self-billing) are generated by the Vayo platform on your behalf, addressed to Transport Vayo Québec inc., in accordance with the self-billing system. These invoices serve as your transport receipts for trips completed through the platform. You are responsible for your own GST/QST registration and must provide your GST/QST numbers to Vayo. Transport Vayo Québec inc. acts solely as a digital dispatcher (répartiteur): it collects payment from the passenger via Stripe Connect, withholds its service commission (GST/QST on that commission is charged in Vayo’s name), and pays you the balance of the trip. You must provide your CTQ authorization number and photos of required documents (authorized driver permit, commercial registration, etc.). A valid Stripe Connect account is required to receive payouts. Payouts are processed weekly on Monday for trips completed in the prior week.

5. Termination

Either party may end this arrangement at any time. Vayo may suspend or deactivate your access for breach of conduct standards, consistently low ratings, or fraud.
